1. Agreement to Terms

By accessing Semantic Frame (the “Service”) operated by MARKATTIC FUSION (doing business as Semantic Frame), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Semantic Frame provides Generative Engine Optimization (GEO) tools and services to help businesses optimize their content for AI search engines (ChatGPT, Perplexity, Claude, Gemini, etc.). Our platform uses AI-powered analysis and our proprietary Brand Semantic Profile (BSP) methodology.

3. User Accounts and Registration

You must provide accurate, current information when creating an account
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities under your account
You must be at least 18 years old to use the Service
One account per user — sharing credentials is prohibited

4. Intellectual Property Rights

Our IP (Protected)

We own and retain all rights to:

The Semantic Frame platform (code, design, functionality)
Our Brand Semantic Profile (BSP) methodology
All optimization algorithms, prompts, and workflows
Our documentation, guides, and materials
Our trademarks, service marks, and logos

Your Content

You retain ownership of:

Your original content uploaded to the platform
Your optimized content generated through our Service

You grant us a limited license to:

Process, analyze, and optimize your content for the purpose of providing our Service
This license terminates when you delete your content or terminate your account

5. Prohibited Activities

You may NOT:

Protect Our Technology

Reverse engineer, decompile, or attempt to extract the source code of the platform
Use the Service to create a competing product or service
Copy, reproduce, or replicate our methodology or processes
Attempt to circumvent any security measures

Account Security

Share account credentials with unauthorized users
Allow multiple users to access a single-user account
Attempt to access other users' accounts or data

Misuse

Use the Service for illegal purposes
Upload malicious code, viruses, or harmful content
Attempt to disrupt or interfere with the Service
Scrape, harvest, or collect data from the platform
Resell or white-label our Service without permission

Violation of these terms may result in immediate account termination.

6. AI-Generated Content & Responsibility

IMPORTANT:

Our Service uses artificial intelligence (Claude API by Anthropic and Google Gemini API) to optimize your content.

You acknowledge and agree that:

AI-generated suggestions are provided “as is”
All AI suggestions must be reviewed and validated by your editorial team before publication
You remain solely responsible for all content you publish
We are not liable for the accuracy, quality, or consequences of published content
AI technology has limitations and may produce errors

Editorial Review Required: Never publish AI-optimized content without human review.

7. Beta Testing Period

Current Status: Beta

During our beta testing period (January 2026 – March 2026):

Certain features may be under development or subject to change
We may modify features, functionality, or pricing based on user feedback
Platform performance may vary as we optimize the system
Beta users acknowledge the experimental nature of the Service during this period

By using the Service during beta, you accept these conditions.

8. Third-Party AI Services

We use third-party AI services to process your content:

Anthropic's Claude API
Google's Gemini API
Other AI tools as needed

By using our Service, you:

Acknowledge your content will be processed by these third-party services
Consent to processing in accordance with their terms of service and privacy policies
Understand we do not control these third-party services

We select reputable AI providers and use industry-standard security measures.

9. Brand Semantic Profile (BSP) Confidentiality

Your BSP is proprietary to you:

Your brand voice preferences, tone guidelines, and optimization settings are confidential
We will not share your BSP with other clients
We will not use your BSP to train our models without your explicit written permission
Your BSP data is protected and treated as confidential business information

10. Fees and Payment

Payment Terms:

Fees as agreed in your subscription or contract
Payment methods: Visa, Mastercard, American Express
Currency: Euros (EUR)
Billing: Monthly recurring charges
No refunds for services already rendered

Free Trial:

14-day free trial for new users
Account will not be charged during trial
Subscription suspended until upgraded to paid version at trial end

Late Payment:

Payment due within 30 days of invoice
Late payments subject to 3× legal interest rate + €40 administrative fee

11. Cancellation and Termination

You can cancel:

Cancellation takes effect at the end of the current billing period
No prorated refunds for partial months

We can terminate your account:

For violation of these Terms
For non-payment
For suspected fraud or illegal activity
At our discretion with 30 days notice

Upon termination:

Your access to the Service ends immediately
You may request export of your data within 30 days
We may delete your data after 30 days

14. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We are not liable for:

SEO/GEO results (many factors beyond our control affect rankings)
AI algorithm changes by third parties
Content quality issues (you are responsible for review)
Loss of traffic, revenue, or business
Data loss (though we maintain backups)
Indirect, consequential, or incidental damages

Our total liability is limited to:

The amount you paid us in the 3 months prior to the claim
Maximum liability: €3,000

This limitation applies to the fullest extent permitted by French law.

15. Disclaimer of Warranties

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING warranties of merchantability or fitness for a particular purpose, that the Service will be uninterrupted or error-free, that results will meet your expectations, or that defects will be corrected.

You use the Service at your own risk.

16. Indemnification

You agree to defend and hold us harmless from:

Claims arising from your use of the Service
Your violation of these Terms
Your violation of third-party rights
Content you publish after optimization
Your breach of representations and warranties

17. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time, change pricing with 30 days notice, and update these Terms at any time.

We will notify you of material changes by email or by notice on the platform. Updates are effective 30 days after posting.

Continued use after changes = acceptance of new Terms.

18. Governing Law and Jurisdiction

These Terms are governed by French law.

Jurisdiction:

Courts of Paris, France have exclusive jurisdiction
Disputes resolved through French legal system
EU consumer protection laws apply where applicable

19. Dispute Resolution

Before litigation:

20. Severability
